These Terms of Service govern your use of the Momentum Labs website and services. Momentum Labs is operated by 2785892 Alberta Ltd, an Alberta corporation based in Edmonton, Alberta, Canada. By using this website or engaging our services, you agree to these terms.
1. Services
Momentum Labs provides marketing automation, AI lead response, booking and reminder systems, review generation, website design and hosting, content, and AI search visibility services. The specific scope, deliverables, and fees applicable to you are set out in your signed service agreement, which prevails over these terms in the event of a conflict.
2. Fees and billing
Subscription fees are billed monthly in advance in Canadian dollars and are non-refundable except as expressly stated in your service agreement. Usage-based charges (such as AI, SMS, and advertising spend) are billed in addition to the subscription. Prices shown on this website may change; the pricing in your agreement governs your account.
3. Term and cancellation
After the initial term set out in your agreement, service continues month-to-month and may be cancelled by either party with written notice as specified in that agreement. On cancellation, access to the platform, automations, and hosted website ends at the close of the paid period.
4. Client responsibilities
- Provide accurate business information, assets, and timely approvals.
- Maintain your own licences, insurance, and regulatory compliance for your industry.
- Ensure you have proper consent to message contacts you upload, in compliance with CASL and A2P messaging rules.
- Use the services lawfully and refrain from sending misleading, prohibited, or abusive content.
5. Third-party platforms
Our services depend on third-party platforms including CRM, messaging, payment, AI, search, and social networks. We are not responsible for outages, policy changes, pricing changes, or account actions taken by those providers.
6. Intellectual property
You retain ownership of your brand assets, content, and client data. Momentum Labs retains ownership of its platform, templates, workflows, and methodologies. On full payment, you receive a licence to use the deliverables created for your business for the duration of your engagement.
7. Results and guarantee
Any performance figures shown on this website are illustrative or drawn from general industry data and are not a promise of specific results. Where a results-backed guarantee is offered, its exact terms and qualifying conditions are those written in your service agreement.
8. Limitation of liability
To the maximum extent permitted by law, Momentum Labs' total liability arising from the services is limited to the fees you paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunity.
9. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform or receive the services.
10. Governing law
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. The courts of Alberta have exclusive jurisdiction over any dispute.
